Inspired Action Takers Club Terms of Use

Hey there fellow small biz owner! By purchasing Inspired Action Takers Club (hereinafter the “Program”), you, the purchaser (hereinafter “Student”) enters an agreement with KD Communications LLC (“Bestie”) and agree to the following terms:

1. Membership Deliverables

The Program is a monthly audio based membership & group coaching experience . Bestie agrees to provide the content as promised on the Program checkout page, which includes:

• 1 Monthly 50-60 Minute Audio “Action” Workshop & Implementation resources delivered via the private podcast stream called – The Inspired Action Takers Club Main Feed via the Hello Audio Service (Implementation resources included but are not limited to any  supplementary materials Besties  deems fit to help you  execute the actions in the Monthly 50-60 Minute Audio “Action” Workshop these included but not limited to any type of Notion Database, PDF, Template, Spreadsheet, Trello Board, Script, or Canva File. No number or amount of Implementation resources are guaranteed)New action shops are released the first Monday of the month.

• Weekly mini-episodes podcast episodes delivered via the Inspired Action Takers Club Bonus Private Podcast Audio Feed based on questions / concerns Students submit via Airtable question submission form.  Students are not allowed to submit any pieces of copy (included but are not limited to sales pages, emails, newsletters, checkout pages, land pages, welcome series, funnels, webinar slides/outlines or any type of  registration pages) for reviews as those fall out of the scope of this membership & will not be reviewed or answered. Students are not allowed to submit any type of content (included but are not limited to social media posts, social media profiles, videos, blog posts, websites (or any page of a website)) for review as those fall out of the scope of this membership & will not be reviewed or answered, Bestie retains the right to refuse to answer any question deemed inappropriate.
  If Bestie is unable to provide answers during any given week due to illness, injury, death, vacation or act of god – Bestie will inform members via written email at least 24 hours before about her inability to provide a thoughtful response, and will be granted an extra time to provide this service. 

• At least two pieces Mindset & Self Improvement Content delivered via the private podcast stream called – The Inspired Action Takers Club Main Feed via the Hello Audio Service. Mindset & Self Improvement Content entails but is not limited to midweek motivational podcast episodes, journal prompts, mini-workshops on various topics around mindset, mental health, self improvement  & self help. No Mindset & Self Improvement Content will ever be tied to any religious affiliation or faith. 

• 1 (one) 60 Minute Monthly Action Session – Bestie will provide at least 1 60 minute co-working session held via Zoom per month for Student to come get work done in silence. This practice is commonly known as body doubling

• Limited access to bonus workshops & resources  – Student will only be granted access to bonus trainings & materials that was uploaded to the Inspired Action Takers Club Bonus Private Podcast Audio Feed AFTER the date Student imports the Inspired Action Takers Club Bonus Private Podcast Audio Feed to their phone. The Student is NOT entitled to bonus trainings uploaded BEFORE that date and will not be granted access to them.  No set amount of bonus workshops or resources are guaranteed per month. Bonus trainings will be  identified in the Inspired Action Takers Club Bonus Private Podcast Audio Feed with 🌟(glowing star  emoji) 

2. Disclaimers & Student  Responsibilities

Bestie’s Privacy Policy is hereby incorporated by reference into this agreement. Student understands that Bestie will be providing educational content to Student and that Bestie’s obligations under this Agreement exist only while Student is a paying member of the Program. Bestie’s obligations will cease once Student or Bestie cancels Student’s membership.

Student understands that they are responsible for importing both of the Inspired Action Takers Club Main Stream & Inspired Action Takers Club Bonus Stream through one the Hello Audio & Bestie approved podcasting app within 2 business days of  entering into this contract.  Bestie will provide how to & tutorial materials about this process to the student.  If the Student can not import the Inspired Action Takers Club Main Stream & Inspired Action Takers Club Bonus Stream by my reach out for extra  assistance via email at no additional cost to kate@katedoster.com

Student understands that Bestie is not providing private one-on-one service on behalf of Student and will not answer any questions submitted anywhere else (included but not limited to DMs, audio messages, and email) but the official Airtable coaching form.

Student understands that they must submit all above style coaching questions & concerns via the Airtable Form provided by Bestie in the Student’s membership portal hosted on ThriveLearn  and in all show notes of every podcast episode.

Student agrees Bestie may base any other type of free content or paid product or paid service outside of Inspired Action Takers Club of a question Student submits via the Airtable form in addition to answering it on the Inspired Action Takers Club Bonus Stream. Student will not be entitled to any type of financial compensation or retain any legal or copy rights to over the free, or paid materials based of Student’s question 

3. Payment

In consideration of Student’s access to the Program, Student agrees to pay either $7 per month (once every 30 days from time of initial purchase) or $84 per year (billed 365 days after the initial purchase) if their purchase is made before Dec.2, 2024 at 12:00 AM EST. 

If a purchase is made AFTER  Dec.2, 2024 at 12:00 AM EST either $14 per month (once every 30 days from time of  initial purchase) or $168 per year (billed 365 days after the initial purchase)  

Student hereby authorizes Bestie to charge Student’s credit card or debit card automatically as part of Student’s payment plan.

4. No Refunds Or Chargebacks

Bestie has a strict no refund policy on the Program. Student understands and agrees to this.

5. Cancellation

Student may cancel their payment plan for the Program at any time. Client understands that they will immediately lose all access to the program including all content and any other live support and/or community support and will not receive any type of pro-rated refund. 

Bestie may cancel Student’s Program at any time for any reason. 

6. No Master Resell Rights. No Personal Label Rights. 

Master Resell Rights and Personal Label Rights are not available for this membership. Student understands that no rights of reproduction are transferred by this Agreement. Student agrees not to create any derivative works of the content found in the Program.

7. Intellectual Property

Bestie owns the rights to all content in the Program such as texts in the forms of guides, books, explanations and the like, as well as other graphics, logos, images, downloads, and other like materials. Student’s participation in the Program does not transfer any intellectual property rights to Student. Bestie grants Student a single-use, non-exclusive, non-transferable, revocable license to any and all Program content. 

8. Force Majeure

Bestie shall not be liable or responsible to Student, nor be deemed to have defaulted or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from acts or circumstances beyond the reasonable control of the Bestie including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion, or hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest, national emergency, revolution, insurrection, epidemic, lock-outs, strikes or other labor disputes (whether or not relating to either party’s workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.

9. Independent Contractor

Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship. Bestie agrees only to provide Client with access to the Program, which provides education and information. The information contained in the Program, including any interactions with the instructors, is not intended as, and shall not be understood or construed as, professional advice.

10. Severability

If any provision of this Contract shall be declared invalid or unenforceable, such provision shall be deemed eliminated from this Contract, and all remaining provisions shall continue in full force and effect.

11. Liability

Student absolves Bestie of any and all liability or loss Student may suffer or incur as a result of use of the Program and/or any information and resources contained in the Program. To the extent permitted by law, Student agrees that Bestie shall not be liable to you for any type of damages, including direct, indirect, special, incidental, equitable, or consequential loss or damages for use of the Program.

12. Warranty

Bestie makes no representations about the suitability, reliability, availability, timeliness, and accuracy of the information, software, products, services, and related graphics contained in the Program for any purpose. To the maximum extent permitted by applicable law, all such information, software, products, services, and related graphics are provided “as is” without warranty or condition of any kind. Bestie and/or its suppliers hereby disclaim all warranties and conditions with regard to this information, software, products, services, and related graphics, including all implied warranties or conditions of merchantability, fitness for a particular purpose, title, and non-infringement.

13. Assignment

Student may not assign this Agreement without express written consent of Bestie.

14. Modification

Bestie may modify terms of this agreement at any time. All modifications shall be posted on the Bestie’s website and purchasers shall be notified.

15. Indemnification

Student agrees to indemnify, defend, and hold harmless the Bestie, its officers, directors, employees, agents, and third parties for any losses, costs, liabilities, and expenses (including reasonable attorneys’ fees) relating to or arising out of Student’s use of or inability to use the Program and related services, any user postings made by Student, your violation of any terms of this Agreement or your violation of any rights of a third party, or Student’s violation of any applicable laws, rules or regulations. 

16. Dispute Resolution

Student expressly waives any and all claims, now or in the future, arising out of or relating to the Program. To the extent Student attempts to assert any such claim, Student hereby expressly agrees to present such claim only in the small claims courts in Pawcatuck, CT USA
